 Cyprus Company Formation, also known as company registration or incorporation, involves creating a legal entity in Cyprus. It's a relatively fast and straightforward process compared to other European countries. Here's an overview of the steps: 

1. Name Approval: Apply for a company name with "Ltd" or "Limited" at the end. The name should be unique and not too similar to existing names. Certain words are restricted, and some require special justifications. 

2. Required Documents: Prepared by a licensed Cyprus lawyer:
  • Articles of Association: Define business activities, liability, share capital, etc.
  • Memorandum: Set rules regulating the company's operations.
  • Form HE1: Statutory declaration by the lawyer.
  • Form HE2: Company's registered office address.
  • Form HE3: Company directors and secretary details.

3. Submission to Registrar: Submit the documents to the Cyprus Registrar of Companies for approval. Upon approval, certificates are issued for incorporation, directors & secretary, registered office, shareholders, and articles of association & memorandum. 

4. Registration Timeline: The registration process takes around 2-4 working days after submission. 

5. Government Fees: Fees include company name approval (€30), stamps for form HE1 (€52), company registration (€485), optional English translation of articles & memorandum (€440), and courier fees (€35).
